United States v. Heppner (S.D.N.Y., 2026)
In a securities-fraud case, Judge Jed Rakoff ruled that documents a defendant generated and analyzed with a cloud AI chatbot were not protected by attorney-client privilege or the work-product doctrine. The court's reasoning turned on the platform's own terms of service — which disclosed that it collected users' inputs and outputs, used them to train its models, and reserved the right to share that data with third parties, including the government.
Because the data flowed to a third-party platform governed by a privacy policy that authorized sharing, the defendant could not claim a reasonable expectation of confidentiality. The communications — and the privileged work behind them — were exposed to discovery.
The takeaway for a firm is blunt: whether your communications with an AI are privileged may depend on whose servers the AI runs on — and on the terms you signed up for. On hardware you control, with no third party and no training on your data, that question never arises.
